Breach of this provision will be considered a material breach and the company reserves the right to take all measures necessary to protect its rights as stated in the Terms and Conditions of Use of Shivay Services and as available to Shivay Services under applicable law.

Dispute Resolution and Jurisdiction

Any dispute related to the formation, interpretation, and performance of this Policy will be resolved through a two-step Alternate Dispute Resolution ("ADR") mechanism. It is agreed by the Parties that the contents of this Section shall survive even after the termination or expiry of the Policy and/or Terms.

• Mediation: If there is any dispute between the parties, they will attempt to resolve the dispute among themselves, with the mutual satisfaction of both Parties. If the Parties are unable to resolve the dispute within thirty (30) days of one Party communicating the existence of a dispute to the other Party, the dispute will be resolved by arbitration, as detailed below;
• Arbitration: If the Parties are unable to resolve the dispute through Mediation, it will be transferred to Arbitration by a sole arbitrator appointed by the Company. The order passed by the sole arbitrator will be valid and binding on both Parties. The costs of proceedings will be borne by the Parties, although the sole arbitrator may, in his/her discretion, direct either Party to bear the entire cost of the proceedings. The arbitration shall be conducted in English, and the seat of Arbitration shall be the city of Pune, India.

The Terms, Policy, and any other agreements between the Parties are governed by the laws, rules, and regulations of India. The Courts at Pune shall have exclusive jurisdiction over any disputes arising between the Parties.
